Coaching Agreement

Please read the following. Your acknowledgment and signature indicate that you both understand and agree to the provisions of the Coaching Agreement

I acknowledge and agree to comply with the following

Nature of Coaching: Coaching is a collaborative, forward-looking process focused on personal and professional development. It aims to help the Client identify and achieve goals, enhance skills, and create desired changes. Coaching is distinct from therapy, counseling, or mental health treatment. It does not involve the diagnosis or treatment of mental disorders, substance abuse, or any other medical or psychological condition.

Client Responsibility: The Client is solely responsible for creating and implementing their own physical, mental, and emotional well-being, decisions, choices, actions, and results arising out of or resulting from the coaching relationship. The Client understands that success in coaching depends largely on their willingness to actively participate, be open to feedback, commit to actions, and follow through on agreed-upon steps.

Coach's Role: The Coach provides guidance, support, and accountability. The Coach will be honest and direct, ask challenging questions, and offer different perspectives to help the Client move forward. The Coach will not provide therapy, legal advice, financial advice, or make decisions for the Client.

No Guarantees: While coaching is intended to be beneficial, the Coach makes no guarantees, representations, or warranties regarding the outcomes or results of coaching. The Client understands that achieving goals requires their own commitment and effort, and actual results may vary.

Referral for Other Services: If, at any point during the coaching relationship, the Coach believes that the Client's needs extend beyond the scope of vocational coaching (e.g., require mental health treatment, legal counsel, or financial planning), the Coach may recommend that the Client seek professional services from other qualified professionals.

Mental Health Professional Notification: If the Client is currently under the care of a mental health professional, it is recommended that the Client inform their mental health provider of the nature and extent of the coaching relationship. The Coach will not communicate with other professionals without the Client's explicit written consent.

Scheduling: Sessions will be scheduled at mutually agreeable times. The Client is responsible for initiating or confirming scheduled calls/meetings.

Session Duration: Individual sessions are typically 60 minutes in duration unless otherwise agreed to.

Communication Between Sessions: The Coach may be available for brief email or text check-ins between scheduled sessions, as outlined in the chosen service package. The Coach will make every effort to respond within 24−48 business hours.

Preparation: The Client agrees to come prepared to each session, having reflected on previous discussions (if applicable) and completed any agreed-upon assignments.

Payment Schedule: Payment is due in full prior to the first session of any service package.

Late Payments: Payments not received by the due date may result in a cancellation of a scheduled appointment and may lead to a suspension of coaching services until the outstanding balance is paid.

Refund Policy: All fees for performed services are non-refundable. A Client who cancels a session or remaining portion of a service package in accordance with Cancellation and Rescheduling Policy as stated below will be reimbursed at a pro-rated amount for any sessions not conducted.

Client Cancellations/Rescheduling: The Client agrees to notify the Coach at least 24 hours in advance if they need to cancel or reschedule a session.

Late Cancellations/No-Shows: If the Client cancels or reschedules with less than 24 hours' notice, or fails to show up for a scheduled session, that session will be considered rendered, and the Client will be charged for the full session fee.

Coach Cancellations/Rescheduling: In the rare event that the Coach needs to cancel or reschedule a session, the Coach will provide as much advance notice as possible, and the session will be rescheduled at no additional cost to the Client.

The Coach agrees not to disclose any information pertaining to the Client without the Client's written consent, except in the following circumstances: As required by law, court order, or subpeona; harm to self or others; supervisory or training purposes (whereupon the client's identity will remain anonymous).

Intellectual Property: Any materials, methodologies, frameworks, workbooks, or content provided by GIG Solutions Vocational Coaching to the Client during the coaching relationship are the exclusive intellectual property of GIG Solutions, Inc. Vocational Coaching. The Client is granted a non-exclusive, non-transferable license to use these materials solely for their personal development in connection with the coaching services. The Client agrees not to copy, reproduce, distribute, sell, or otherwise exploit these materials for commercial purposes without the express written consent of GIG Solutions Vocational Coaching.

Termination: Either the Client or the Coach may terminate this Agreement at any time by providing written notice to the other Party.

Termination (Cont'd): The Coach may terminate this Agreement immediately if the Client fails to make timely payments, consistently violates the terms of this Agreement, or if the Coach determines that the coaching relationship is no longer productive or appropriate.

Termination (Cont'd): The Client agrees to compensate the Coach for all coaching services rendered up to and including the effective date of termination. Any applicable refunds (as per Section 5e) will be processed within 30 days of termination.

Governing Law and Dispute Resolution: This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of laws principles. In the event of any dispute arising under this Agreement, the Parties agree to first attempt to resolve the dispute informally through good faith negotiations. If a resolution cannot be reached, the Parties agree to engage in mediation with a mutually agreed-upon mediator before pursuing any legal action.

Entire Agreement: This Agreement, including the Informed Consent, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether written or oral. This Agreement may not be amended, altered, or supplemented except in writing signed by both the Coach and the Client.
